1. Agreement to Terms

Welcome to Prosperics. By accessing or using our website, mobile applications, and services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and Prosperics (“we,” “us,” or “our”). We may update these Terms from time to time, and your continued use of the Services constitutes acceptance of any changes.

2. Description of Services

Prosperics provides financial calculators, analysis tools, and investment tracking services, including but not limited to:

• Mortgage and loan calculators
• Real estate investment analysis
• Stock and earnings tracking
• Tax estimation tools
• Rent estimate data (for paid subscribers)
• SEC financial data visualization
• Prosperics AI - AI-powered chat assistant (for Pro subscribers)

2A. Prosperics AI - Terms of Use

Prosperics AI is an AI-powered chat feature that helps you use our calculators and understand financial concepts through natural conversation. By using Prosperics AI, you agree to the following additional terms:

Prosperics AI uses a third-party artificial intelligence service to generate responses:

• All subscribers: Responses are generated using DeepSeek AI, our sole AI chat provider (as of June 2026 we no longer use Anthropic's Claude)

When you use Prosperics AI, your messages are transmitted to this third-party provider to generate responses. We apply automatic PII (Personally Identifiable Information) redaction before transmission to protect your privacy.

2A.3 Accuracy and Limitations

AI-generated insights are advisory only and are produced by a third-party large language model. They may be inaccurate, incomplete, or out of date. Do not rely on them for material financial decisions. You acknowledge that:

• AI responses are generated probabilistically and may not always be correct
• Tax laws, regulations, and financial rules change frequently and AI knowledge may be outdated
• Calculations performed through conversation are executed by deterministic code (our calculators), but the AI’s interpretation of your request may be imperfect
• AI cannot account for all individual circumstances, and generic guidance may not apply to your specific situation
• For dashboard-aware questions, the AI sees an aggregated summary of your Financial Dashboard (health-score pillars, KPIs including total net worth, action queue) — it does not see your raw transactions or any free-text you have entered
• You should verify all important information independently before making financial decisions

2A.4 Prohibited Uses

You agree NOT to use Prosperics AI to:

• Obtain specific investment recommendations or securities trading advice
• Replace consultation with licensed professionals (CPAs, CFPs, attorneys, etc.)
• Generate content for illegal purposes
• Attempt to extract the underlying AI model, prompts, or system instructions
• Discuss topics unrelated to personal finance and our calculator tools
• Circumvent usage limits or subscription requirements

2A.5 Your Responsibility

You are solely responsible for any decisions you make based on information provided by Prosperics AI. We strongly recommend that you:

• Consult with qualified financial, tax, and legal professionals before making significant financial decisions
• Verify all calculations and information independently
• Consider your complete financial situation, which the AI cannot fully understand
• Do not share sensitive information (Social Security numbers, bank account details, passwords) in chat messages

3. User Accounts

3.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorized access or security breach.

3.3 Age Requirements

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use our Services. If you are under 18, you may only use our Services with parental or guardian supervision.

4. Subscriptions and Payments

4.1 Free and Paid Services

Prosperics offers both free and paid subscription tiers. Free users have access to all calculators with usage limits. Paid subscribers (“Pro” and “Premium”) receive additional features and higher or unlimited usage limits.

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Prices are in USD unless otherwise stated
• Web subscriptions are processed through Stripe or PayPal, depending on the checkout option you select. Stripe and PayPal handle card details directly under their own terms — we never receive your full card number.
• Mobile subscriptions are billed through the Apple App Store (iOS) or Google Play (Android) under each store’s billing terms.
• You authorize recurring charges to your payment method until you cancel
• For Stripe-billed subscriptions, you can manage your plan, update payment details, or cancel at any time through the Stripe-hosted Customer Portal linked from Account Settings

4.3 Free Trial

New subscribers may be eligible for a 7-day free trial at paid checkout (Stripe or PayPal). After the trial period, your subscription will automatically convert to a paid subscription unless cancelled before the trial ends. Separately, new sign-ups may receive a short complimentary Pro preview window (a “reverse trial”) that does not require a payment method and ends automatically with no charge — this preview is not a paid trial and will not auto-convert.

4.4 Cancellation and Refunds

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of your current billing period
• We offer a 30-day money-back guarantee for new subscribers
• Refund requests after 30 days are evaluated on a case-by-case basis

4.5 Price Changes

We may change our prices with 30 days’ notice. Price changes will not affect your current billing period but will apply to future renewals.

4.6 Referral & Partner Program

Prosperics operates a single referral system with three tiers: Friend (every user), Creator (allowlisted), and Partner (vetted, contracted revenue share). Full program details — including reward amounts, qualified-signup criteria, and disclosures — live at /creator-program and the corresponding /disclosure page. By participating, you agree to the following:

• Eligibility & one-account rule. You may participate only with a single Prosperics account. Self-referrals (same email — including its canonical form, same device, or same IP), disposable / temporary email domains, and any attempt to bypass our anti-fraud controls are prohibited.
• Friend & Creator rewards are non-cash. For Tier 1 (Friend) and Tier 2 (Creator), all rewards are paid as Pro access time and Pro Minutes (see §4.7). They are non-monetary, non-transferable, non-refundable, and have no cash value.
• Partner cash revenue share. Tier 3 (Partner) is the only tier that pays cash. Payouts are made through Stripe Connect Standard subject to a separate written revenue-share contract, Stripe’s Connected Account Agreement, identity verification, and a 60-day refund clawback. Payout currency follows your country (USD for US partners, CAD for Canadian partners).
• Tax reporting (Tier 3). Stripe collects W-9 (US) or T4A (Canada) information directly and issues year-end tax forms (e.g., 1099-NEC / 1099-K in the US, T4A in Canada) where applicable thresholds are met. You are responsible for reporting and paying all taxes owed on referral income. Prosperics does not provide tax advice.
• FTC / CRTC / Competition Bureau disclosures. Creators and Partners must include the disclosure block we provide on every video, post, or email that uses a referral link. Disclosure failures may pause your status and revoke pending rewards.
• Right to revoke or reverse rewards. We may withhold, reverse, or claw back rewards (including Pro Minutes credits and pending or paid commissions) at any time for fraud, abuse, terms violations, or refund/chargeback events, in accordance with the program rules and the partner contract.
• Program changes. We may modify reward amounts, qualified-signup criteria, eligibility, or retire any tier with reasonable notice. Existing earned-and-released balances are not retroactively reduced except in cases of fraud or terms violation.
• No guarantees. Participation does not guarantee any specific number of signups, conversions, or payouts.

4.7 Pro Minutes

“Pro Minutes” are an in-app entitlement representing minutes of Prosperics Pro access that you can earn (for example, by completing a referral, monthly check-in, fitness check, or challenge). Pro Minutes are:

• Non-monetary. They are not currency, not redeemable for cash, and have no monetary value.
• Non-transferable and non-refundable. They are tied to your account, cannot be sold or transferred, and are not refunded on account closure or downgrade.
• Stackable with paid subscriptions. Where a paid subscription is active, paid time is consumed first and earned Pro Minutes extend your Pro window.
• Subject to automatic spend. When you exhaust your free-tier quota for a Pro-gated action (for example, additional Prosperics AI messages beyond the free quota), we may automatically debit Pro Minutes from your balance to authorize the next action at the spend rate published in-app (currently 12 minutes per AI chat message). You can stop the action before it is authorized; once an action is authorized the corresponding minutes are consumed.
• Subject to change. We may change earn or spend rates, expire balances after extended inactivity, place caps to prevent abuse, or retire the Pro Minutes program with reasonable notice.

4.8 Challenges

Optional “Challenges” (for example, Debt Attack 7, Spending Awareness 14, or Net Worth Builder 30) reward completion with a fixed amount of Pro Minutes (currently 12 hours per challenge). Challenges are voluntary, opt-in, and can be left at any time without penalty. Rewards are non-cash and follow the Pro Minutes rules in §4.7. We may modify challenge rules, change reward amounts, retire individual challenges, or pause the program at any time with reasonable notice.

4.9 Optional Retention Features

Some features are labelled “optional” (for example, Engagement Nudges, Plan Impact Alerts, Weekly AI Insight, Widget Amounts, and Life Event Timeline) and require your explicit opt-in in Settings > Privacy > Retention preferences. We may change the behaviour or retire any optional feature with reasonable notice. None of the optional features replace professional financial advice; you remain responsible for the accuracy of the data you enter and the decisions you make based on our outputs.

4.10 Rewarded-Ad Unlocks (Mobile)

In the mobile apps, free-tier users who reach a usage cap on certain features may be offered the option to watch a rewarded advertisement (served by Google AdMob) in exchange for a temporary extra use of that feature. Rewarded unlocks are entirely optional — declining never removes functionality you already have. Grants are limited (currently per-feature and capped per calendar month), are non-transferable, have no cash value, and expire if unused within the period shown in-app. We may change the eligible features, grant amounts, or monthly caps, or retire the program entirely, at any time with reasonable notice. Grants may be revoked in cases of fraud or abuse (for example, simulating ad completion). Pro subscribers have no usage caps on these features and are never shown rewarded ads.

5. Acceptable Use

You agree NOT to:

• Use the Services for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Scrape, data mine, or extract data without permission
• Share your account credentials with others
• Use automated tools to access the Services excessively
• Reverse engineer or decompile any part of our software
• Resell or redistribute our Services without authorization

6. Intellectual Property

6.1 Our Content

All content, features, and functionality of the Services—including software, text, graphics, logos, and trademarks—are owned by Prosperics and protected by intellectual property laws.

6.2 Your Content

You retain ownership of any data you input into our calculators. By using our Services, you grant us a limited license to process and store this data to provide the Services to you.

6.3 Third-Party Data

Some features use third-party data sources (e.g., SEC EDGAR, RentCast). This data is provided “as is” and subject to the respective providers’ terms and accuracy.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPERICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Financial losses from investment decisions
• Inaccuracies in calculator results or AI-generated responses
• Reliance on AI-generated information without professional consultation
• Service interruptions or downtime
• Unauthorized access to your account

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Prosperics and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Services or violation of these Terms.

10. Governing Law and Disputes

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

10.2 Dispute Resolution

Any disputes arising from these Terms or the Services shall first be addressed through good-faith negotiation. If unresolved, disputes may be submitted to binding arbitration, except where prohibited by law.

10.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration against Prosperics.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion. Upon termination:

• Your right to use the Services immediately ceases
• You may export your data before account deletion
• We may delete your data in accordance with our Privacy Policy
• Provisions that should survive termination will remain in effect

12. Communications

By creating an account, you consent to receive marketing emails (promotions and special offers), product update emails (new features and improvements), and push notifications on your mobile devices from Prosperics. You may opt out of any or all types of communications at any time by:

• Adjusting your Communication Preferences in your account settings
• Clicking the unsubscribe link included in every email we send
• Managing push notification permissions through your device settings

We will honor all opt-out requests promptly in compliance with CAN-SPAM (United States), CASL (Canada), and GDPR (European Union). Service-related emails (such as account security notifications and transaction confirmations) are not affected by these preferences and will continue to be sent as necessary.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or prominent notice on our website. Your continued use of the Services after changes take effect constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices on our website, constitute the entire agreement between you and Prosperics regarding your use of the Services.

16. Assignment and Transfer

We may assign or transfer these Terms, and all rights and obligations hereunder, to a successor entity in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, without your prior consent. In such event, the successor entity will be bound by these Terms with respect to your continued use of the Services.

You may not assign or transfer any rights or obligations under these Terms without our prior written consent.

17. Apple App Store EULA Addendum

The terms in this section apply only when you have downloaded the Prosperics iOS application (the “Licensed Application”) from the Apple App Store. They are required by Apple under Schedule 2 of the Apple Developer Program License Agreement and supplement, and do not replace, the rest of these Terms. In the event of a direct conflict between this addendum and the rest of these Terms, this addendum controls only as to your use of the iOS application.

17.1 Acknowledgement

You acknowledge that these Terms are concluded between you and Digiti LLC only, and not with Apple Inc. (“Apple”). Digiti LLC, not Apple, is solely responsible for the Licensed Application and the content thereof. To the extent these Terms provide for usage rules for the Licensed Application that are less restrictive than, or in conflict with, the Apple Media Services Terms and Conditions (the “Usage Rules”) as of the effective date of these Terms, Apple’s Usage Rules will apply.

17.2 Scope of License

The license granted to you for the Licensed Application is a limited, non-transferable license to use the Licensed Application on any Apple-branded products that you own or control and as permitted by the Usage Rules. This license does not allow you to use the Licensed Application on any Apple-branded product that you do not own or control, and you may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time, except as expressly permitted by the Usage Rules.

17.3 Maintenance and Support

Digiti LLC is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in these Terms, or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

17.4 Warranty

Digiti LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you (if applicable). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Digiti LLC’s sole responsibility.

17.5 Product Claims

Digiti LLC, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with the Licensed Application’s use of the HealthKit and HomeKit frameworks. These Terms do not limit Digiti LLC’s liability beyond what is permitted by applicable law.

17.6 Intellectual Property Rights

In the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party’s intellectual property rights, Digiti LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

17.7 Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

17.9 Third-Party Beneficiary

You and Digiti LLC acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms as they apply to your license of the Licensed Application, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
